Eligibility
You must be at least 18 years old to enter into a paid engagement with Keliyo. If you are between 13 and 18, you may use the site for information but must have a parent or legal guardian enter any paid agreement on your behalf.
If you are using our services on behalf of a company or organisation, you confirm that you have the authority to bind that entity to these Terms, and references to "you" include that entity.
[ 04 ]
Our services
We provide the following categories of services:
- Website Development — marketing sites, web apps, e-commerce, and web-based tools.
- App Development — iOS, Android, and cross-platform mobile apps.
- CRM & ERP Development — custom systems for sales, operations, inventory, and finance.
- AI Automation — AI agents, workflow automation, RAG search, and copilots.
- Game Development — 2D, 3D, and interactive experiences for mobile, web, and PC.
- SEO Services — technical SEO, content strategy, local SEO, and authority building.
- Engineering Projects — academic mini, major, and final-year projects for engineering students.
The exact scope of any Project is defined in a written proposal, quote, or Statement of Work. Where a Project has a written agreement, that agreement prevails over these Terms in case of conflict.
We reserve the right to decline any engagement at our discretion, and to modify, suspend, or discontinue any part of our services with reasonable notice.
[ 05 ]
Quotes & engagement
Every paid engagement begins with a written quote or proposal stating the scope, deliverables, timeline, revision limits, and Fee. A Project is considered confirmed when you accept the quote in writing (email or signed agreement) and pay any agreed advance.
- Fixed-scope projects — price is fixed for the agreed scope. Requests outside the scope are handled as change requests and may attract additional Fees.
- Retainers — recurring monthly work, invoiced in advance. Either party may terminate a retainer with 30 days' written notice, after any minimum commitment period stated in the agreement.
- Time-and-materials work — billed by the hour or day at rates quoted in advance. We provide regular time reports.
- Estimates — any timeline or cost estimate given verbally is indicative only until confirmed in writing.
Quotes remain valid for 30 days unless stated otherwise.
[ 06 ]
Payments & taxes
- Currency — all Fees are quoted in Indian Rupees (INR) unless otherwise stated. International clients may be quoted in USD at the prevailing exchange rate.
- Advances — most Projects require 40%–50% advance before work begins. Larger Projects may be split into milestones.
- Milestone billing — for multi-phase Projects, we invoice at agreed milestones. Each milestone invoice is payable before the next phase begins.
- Payment terms — invoices are due within 7 days of issue unless stated otherwise.
- Late payment — overdue invoices attract interest at 1.5% per month (or the maximum permitted by law, whichever is lower), and we may pause work until dues are cleared.
- Taxes — Fees exclude GST and any other applicable taxes, which will be added to the invoice as required by Indian law. International clients are responsible for any taxes in their jurisdiction.
- Payment methods — bank transfer (NEFT/RTGS/IMPS), UPI, Razorpay, or Stripe. Payment gateway charges (if any) are on the Client.
- Failed payments — bounced cheques, reversed UPI payments, or chargebacks may incur an administrative fee of ₹500 plus bank charges.
[ 07 ]
Refunds & cancellations
- Advances are non-refundable once work has commenced, as they cover committed production time and resources.
- Before work begins — if you cancel within 48 hours of paying an advance and before work has started, we refund the advance minus a 10% administrative fee.
- Mid-project cancellation — if you cancel after work has started, you are liable for the value of work completed up to the cancellation date, plus any non-recoverable third-party costs. Any remaining advance is adjusted against this amount.
- Retainers — no refunds for the current month once a retainer month has begun. You may cancel future months with 30 days' notice.
- Engineering projects — no refunds once source code, documentation, or demo has been shared. Partial refunds for incomplete work are at our discretion.
- Donations — donations are voluntary and non-refundable. If you made a donation in error, write to us within 7 days and we will review the request on a case-by-case basis.
- Disputes — if you are unhappy with a Deliverable, tell us in writing within 7 days of delivery. We will attempt to resolve through revision or rework before considering any refund.
Approved refunds are processed to the original payment method within 14 business days.
[ 08 ]
Client responsibilities
To help us deliver on time and to scope, you agree to:
- Provide accurate, complete, and timely information, content, and access we reasonably request.
- Respond to our queries and review Deliverables within agreed timeframes (typically 3–5 business days).
- Ensure you have all necessary rights to any Client Materials you provide, and that they don't infringe third-party rights.
- Designate a single point of contact with decision-making authority for the Project.
- Obtain any approvals, licences, or consents required for the Project (e.g. for regulated industries).
- Pay all applicable Fees and taxes on time.
Delays caused by Client inaction may result in revised timelines. Where a Project is paused at the Client's request for more than 30 days, we may invoice for work completed to date and consider the Project on hold.
[ 09 ]
Intellectual property
Ownership of Deliverables. Upon full payment of all Fees for a Project, Keliyo assigns to you all rights, title, and interest in the custom Deliverables created specifically for you, excluding Third-Party Services and Keliyo's pre-existing materials.
Keliyo's retained rights. We retain ownership of:
- Our pre-existing code, tools, frameworks, libraries, and templates (whether created before or independently of the Project).
- General know-how, processes, methodologies, and skills developed during the Project.
- Third-party components (which remain governed by their own licences).
Licence to you. Where Deliverables incorporate our pre-existing materials, we grant you a perpetual, worldwide, non-exclusive, royalty-free licence to use those materials as part of the Deliverables.
Portfolio rights. Unless you object in writing, Keliyo may reference the Project in its portfolio, case studies, and marketing — including screenshots, logo, and a short description of the work. If you require confidentiality of the Project's existence, tell us in writing and we will honour it.
Client Materials. You retain all rights to Client Materials. You grant us a limited licence to use Client Materials solely to deliver the Project.
[ 10 ]
Confidentiality
Each party agrees to keep the other party's Confidential Information confidential and to use it only for the purposes of the Project. This obligation survives termination of the engagement for a period of 3 years, except for trade secrets and personal data, which remain protected indefinitely or as required by law.
Confidential Information does not include information that:
- Was already public at the time of disclosure.
- Becomes public through no fault of the receiving party.
- Was independently developed without reference to the disclosed information.
- Must be disclosed by law or court order (in which case the disclosing party will be given prompt notice where lawful).
Where required, we are happy to sign a mutual NDA before discussing sensitive details. Mention this on your enquiry form or write to hello@keliyo.com.
[ 11 ]
Acceptable use
You agree not to use our site or services to:
- Violate any law, regulation, or third-party right.
- Build or distribute malware, spyware, or harmful code.
- Infringe intellectual property, privacy, or publicity rights.
- Promote hate, harassment, violence, or illegal activity.
- Distribute spam, run phishing campaigns, or engage in fraud.
- Process child sexual abuse material or content that sexualises minors.
- Gamble, deal in unlicensed financial products, or operate unlicensed pharma in jurisdictions where prohibited.
- Attempt to access our systems, servers, or data without authorisation.
- Reverse-engineer, decompile, or attempt to derive the source code of any Keliyo-owned software except as permitted by law.
We reserve the right to refuse or terminate any engagement that violates this section without refund of amounts already paid.
[ 12 ]
Third-party services
Many Projects rely on Third-Party Services — for example, hosting providers, payment gateways, cloud platforms, APIs, plugins, or software libraries. These are governed by their own terms, and we do not control their availability, pricing, security, or policies.
You acknowledge that:
- Fees for Third-Party Services are typically paid directly by you to the provider, unless agreed otherwise in writing.
- If a Third-Party Service changes, breaks, or is discontinued, we will help where reasonably possible, but we are not liable for that service's actions.
- Any changes required to a Project due to third-party updates (e.g. API deprecation) may be handled as a change request.
[ 13 ]
Warranties & disclaimers
What we warrant. We warrant that:
- We will perform the Services with reasonable skill, care, and diligence.
- The Deliverables will materially conform to the agreed scope for a period of 30 days from delivery. Your remedy for breach of this warranty is rework by us, at no extra cost, provided the issue is caused by our work and not by third-party changes, Client modifications, or misuse.
What we do NOT warrant. Except as expressly stated:
- The site and services are provided on an "as-is" and "as-available" basis.
- We do not warrant uninterrupted, error-free operation of the site.
- We do not warrant that the site will be free from viruses or harmful components introduced by third parties.
- We do not warrant specific business outcomes — including revenue, rankings, traffic, downloads, or conversions — because those depend on many factors outside our control.
[ 14 ]
Limitation of liability
To the maximum extent permitted by law:
- Keliyo's total aggregate liability arising out of or relating to any Project is limited to the total Fees paid by you for that Project in the 6 months preceding the event giving rise to the claim.
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility.
- Our liability for donations, engineering projects, or any free-of-charge service is limited to the amount you paid.
Nothing in these Terms limits liability that cannot be limited under applicable law (including fraud, wilful misconduct, or death/personal injury caused by negligence).
[ 15 ]
Indemnity
By you. You agree to indemnify and hold harmless Keliyo, its directors, employees, and contractors from any claim, damage, or cost (including reasonable legal fees) arising from:
- Your breach of these Terms.
- Your misuse of a Deliverable.
- Any claim that Client Materials infringe third-party rights.
- Your violation of any law or third-party right.
- Content you publish using a Deliverable (e.g. defamatory, infringing, or unlawful content).
By us. We indemnify you against third-party claims that our custom Deliverables (excluding Client Materials and Third-Party Services) infringe an Indian copyright, trademark, or patent, provided that you promptly notify us, give us control of the defence, and cooperate reasonably. Our total liability under this indemnity is subject to Section 14.
[ 16 ]
Termination
By you. You may terminate a Project by written notice, subject to Section 7 (refunds and cancellations). Retainers can be ended with 30 days' notice after any minimum commitment.
By us. We may suspend or terminate your access to the site or services immediately, without refund, if:
- You breach these Terms, including the acceptable use section.
- You fail to pay Fees when due and don't remedy within 7 days of notice.
- You provide false or misleading information.
- Continuing the engagement would require us to violate law or professional ethics.
- You engage in abusive, threatening, or unlawful conduct toward our team.
Effect of termination. Upon termination: (a) any amounts owed become immediately payable; (b) we may suspend work and withhold Deliverables until dues are cleared; (c) Sections on intellectual property, confidentiality, indemnity, limitation of liability, and governing law survive.
[ 17 ]
Governing law & disputes
These Terms are governed by the laws of India. Subject to the dispute resolution steps below, the courts of Samastipur, Bihar, India shall have exclusive jurisdiction.
Dispute resolution. Before any court action, both parties agree to:
- Notify the other party in writing describing the dispute.
- Attempt good-faith negotiation for 30 days from the notice.
- If unresolved, refer the matter to mediation in Samastipur (or another location agreed in writing) with a mutually chosen mediator.
- Only after mediation fails, proceed to arbitration or court, as applicable.
Nothing in this section prevents either party from seeking urgent injunctive relief where necessary (e.g. to prevent IP infringement).
[ 18 ]
